1. Acceptance of Terms
By accessing or using InvestorSearch.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site. InvestorSearch.com may update these Terms at any time, and your continued use of the Site constitutes acceptance of the updated Terms.
2. Platform Services & Neutral Role
InvestorSearch.com operates as a neutral technology marketplace that connects borrowers seeking business purpose real estate financing with private and hard money lenders. Our role is to provide a platform where participants can list opportunities, connect, and negotiate directly.
InvestorSearch.com does NOT:
- Originate or make loans
- Underwrite financing or assess creditworthiness
- Act as a mortgage broker, lender, or financial advisor
- Guarantee the availability of financing or lender participation
- Collect or service debt payments
All transaction terms, underwriting decisions, and loan closings are independently negotiated and executed directly between borrowers and lenders off-platform.
3. Platform Introduction Fee & Escrow Instructions
InvestorSearch.com charges a 1% platform introduction fee on the funded loan amount for successful transactions facilitated through the Site. This is a technology and marketplace service fee for the introduction and matching services provided by the platform — it is not a broker commission, origination fee, or referral fee.
The platform introduction fee is due and payable at closing, collected through escrow, title, or the closing attorney's office, as applicable in the transaction's jurisdiction.
By registering as a lender on InvestorSearch.com, you acknowledge and agree that:
- The 1% platform introduction fee applies to all deals sourced through InvestorSearch.com that result in a funded loan.
- The fee becomes a binding obligation upon loan funding and is enforceable as a contractual debt.
- The fee is owed to Loan Brook, Inc. (DBA InvestorSearch.com) and is to be paid through escrow at closing.
- Failure to pay the platform introduction fee upon a funded deal will result in immediate suspension and removal from the platform, and InvestorSearch.com reserves the right to pursue collection through all available legal means, including but not limited to referral to a collections agency and civil litigation.
- The fee obligation survives termination of your account if the deal was introduced through the platform prior to termination.
- Attempting to circumvent the fee by taking a platform-introduced deal off-platform constitutes a material breach of these Terms and is subject to the same enforcement provisions.
4. Eligibility & Registration
To access lender features, you must register an account and provide accurate, complete information about your lending criteria and company. You represent that you are a legitimate private lender, hard money lender, or institutional lender actively deploying capital for business purpose real estate loans.
InvestorSearch.com reserves the right to verify lender credentials and to suspend or remove any account that provides false or misleading information.
5. Borrower Submissions
Borrowers who submit loan requests through InvestorSearch.com represent that the information provided is accurate and that the loan is for a business purpose (not for personal, family, or household use). InvestorSearch.com does not verify borrower information and makes no representations about the accuracy of submitted deal data.
6. Indicative LOIs & Deal Summaries
Deal Summaries and Indicative Letters of Interest (LOIs) generated through the platform are for informational purposes only and do not constitute a commitment to lend, a loan approval, or a binding agreement of any kind. All indicative terms are based on lender-submitted criteria and are subject to change. Final loan terms are determined solely by the lender through their own underwriting process.
7. Prohibited Conduct
You agree not to use the Site to:
- Submit false, misleading, or fraudulent deal information
- Circumvent the platform introduction fee by taking deals off-platform after initial contact through InvestorSearch.com
- Solicit other platform participants for purposes unrelated to the deal matching services
- Violate any applicable federal, state, or local laws or regulations
- Introduce malware, harmful code, or disruptive technologies
8. Limitation of Liability
InvestorSearch.com provides the platform "as-is" without warranties of any kind. We are not liable for losses, damages, or disputes arising out of transactions between participants, including but not limited to loan defaults, lender non-performance, or deal failures. InvestorSearch.com's maximum liability to any party shall not exceed the platform introduction fees actually received by InvestorSearch.com in connection with the relevant transaction.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in California.
